Terms of Service

1) Agreement & Eligibility

These Terms are a binding agreement between you and Classifi, Inc. (“Classifi,” “we,” “us”). By creating an account, accessing, or using Classifi’s services (the “Services”), you agree to these Terms and our Privacy Policy. You must be at least 18 and have authority to bind your organization.

2) What Classifi Is (and isn’t)

Classifi helps organize contractor records, automate requests, review disbursements, and simulate risk checks. We do not provide legal, tax, or accounting advice. You should consult your attorney or tax professional for advice specific to your situation.

3) Accounts & Security

You’re responsible for safeguarding your account and credentials and for all activity under your account. Notify us promptly of any unauthorized use. Don’t share credentials or try to bypass security.

4) Subscriptions, Free Trials & Billing

Paid plans auto-renew until canceled. If your plan includes a free trial, billing starts when the trial ends unless you cancel before then. You authorize us (and our payment processor) to charge subscription fees and applicable taxes. You can cancel anytime in billing settings; service remains active until the end of your current period. We may change prices with advance notice.

5) Refunds

Unless required by law or explicitly stated otherwise, fees are non-refundable. If you believe there has been a billing error, contact support within 30 days.

6) Your Content & Data

You retain ownership of the content and documents you upload. You grant Classifi a limited license to host, process, transmit, and display your content solely to provide and improve the Services, comply with law, and protect security/integrity. We never sell your personal data. See our Privacy Policy for details.

7) Third-Party Services (QuickBooks, Plaid, Xero)

You may choose to connect third-party services (e.g., Intuit QuickBooks Online, Xero, Plaid). Your use of those services is governed by their terms and privacy policies. For example: - QuickBooks Online by Intuit. - Plaid (if enabled) to connect financial accounts; Plaid handles credentials and shares data you authorize. - Xero (pending integration) governed by Xero’s terms. You’re responsible for obtaining necessary rights/consents to share data with Classifi. We’re not responsible for third-party services or their availability.

8) Acceptable Use

Don’t misuse the Services (e.g., upload unlawful content, infringe IP, attempt to reverse-engineer, probe or disrupt security, or overload/abuse rate limits). We may suspend or terminate accounts that violate these Terms or harm service stability.

9) Confidentiality

We will treat your non-public content as confidential and use it only to provide the Services, protect the Services, comply with law, and as otherwise permitted in these Terms and the Privacy Policy.

10) Data Privacy & Security

We implement administrative, technical, and physical safeguards (including encryption in transit and at rest) to protect your data. No method of transmission or storage is 100% secure, but we continually monitor and improve our defenses. Details are in our Privacy Policy and Security page.

11) Intellectual Property

Classifi owns the Services, software, and all related IP rights. You receive a non-exclusive, non-transferable license to use the Services in accordance with these Terms. You may provide feedback; we may use it without restriction.

12) Beta or Early-Access Features

We may offer previews or beta features. They’re provided “as is,” may change or end at any time, and may be subject to additional terms.

13) Availability & Changes

We strive for high availability, but occasional downtime may occur for maintenance, updates, or events beyond our control. We may modify or discontinue features with reasonable notice when practical.

14) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15) Limitation of Liability

To the maximum extent permitted by law, Classifi isn’t liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, whether incurred directly or indirectly. Our aggregate liability arising from or relating to the Services is limited to the amount you paid to Classifi for the Services in the 12 months before the event giving rise to the claim.

16) Indemnification

You agree to defend, indemnify, and hold harmless Classifi and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your content, your use of the Services in violation of these Terms, or your violation of law or third-party rights.

17) Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware (without regard to conflicts of laws). The parties consent to exclusive jurisdiction and venue in state or federal courts located in Delaware for any dispute not subject to arbitration. If we mutually agree to arbitration, a separate arbitration addendum will apply.

18) Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Services or email. If you continue using the Services after changes become effective, you agree to the updated Terms.
